Bylaws Amendment Passed – Sep 28, 2022
Amendment to ARTICLE V: SECTION 4: B. –
- To be eligible for nomination to serve as President, Vice President, Secretary, or Treasurer of the Association, the nominee must have served at least one year on the Board of Directors, except as specified in Article V: Section 4: B. 2.
- If there is no eligible candidate for a Board officer position, the Board of Directors may approve a waiver of the prior service requirement for a specific nomination of a qualified individual. The Board shall review the qualifications of the individual and approve the waiver through a three-quarters majority of those voting. The Board Secretary shall report the results of this vote to the Elections Committee no less than two weeks before the Elections Meeting.
Article V: Section 4:B previously read:
To be eligible for nomination to serve as President, Vice President, Secretary, or Treasurer of the Association, the nominee must have served at least one year on the Board of Directors.
Explanation:
The amendment will allow for election of a person who would not otherwise be qualified to hold an officer's position in the event of specific unusual circumstances. The amendment is relevant only if there are no eligible candidates AND there is a qualified candidate who has not previously served on the Board. The amendment requires that the Board review and approve the person's qualifications before the election is held.
Bylaws amendments require a 2/3 vote of the members present at the meeting to pass.
